The Role

The HII Corporate paralegal reports directly to the Corporate Vice President and Associate General Counsel in the Office of the Corporate Secretary in our Arlington, VA office, and works with the other attorneys and paralegals in the Law Department to:
  • Assist with the oversight and management of Section 16 matters, including preparing and filing Forms 3, 4 and 5 under the supervision of an attorney; and assist in administration of insider trading policy, including managing trading window logistics, access person list and organizing/tracking 10b5-1 trading plans
  • Support the preparation of SEC filings (e.g., 8-Ks, proxy statements, 10-Ks, 10-Qs) and associated disclosure control processes, support various corporate governance matters and the preparation and execution of Annual Stockholders Meeting, including logistics, document preparation and collaborating closely with vendors and third parties
  • Assist with the oversight and management of Company's processes for Director and Officer Questionnaires, including related person transaction tracking and updating corporate records with cross-functional teams under supervision of attorney
  • Assist with NYSE compliance activities, including reporting organizational changes and filing of annual and interim reports under supervision of attorney
  • Maintain the Diligent electronic Board portal and assist with preparation of materials for meetings of Board of Directors and its committees, including drafting resolutions, supporting documents, coordination of Board liaison meetings
  • Draft routine corporate documents, including organizational documents, board resolutions and other certificates to form and maintain the company's subsidiaries
  • Assist in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations and other forms of business entities
  • Prepare and file annual state and foreign filings for the company's subsidiaries and support governance matters for the company's subsidiaries; maintain the company's entity management database
  • Work with the external auditor on quarterly reviews and year-end audit as required
  • Conduct research and resolve routine legal questions under the direction of an attorney


Must Have

This job requires an associates degree or equivalent, plus a minimum of 6 years related experience, preferably in a corporate, litigation or general law practice. A thorough understanding of legal terminology, sound research and investigative skills, and excellent oral and written communication skills are essential

Nice to Have

Previous in-house or law firm experience with SEC filings, including 10-Ks, 10-Qs and Section 16 filings is highly preferred. In-house corporate paralegal experience managing (i) subsidiaries and/or familiarity with the hCue system or similar entity management system and/or (ii) Diligent Boards and Diligent Messenger for Board and Senior Management meetings also preferred
