Role Summary: Our company is seeking a detail-oriented and proactive Business Law Paralegal to support attorneys within our corporate practice group. This role will assist with corporate and transactional matters, including entity formations, contract preparation, due diligence, and commercial transactions. The ideal candidate is highly organized, able to manage multiple priorities and projects simultaneously, and thrives in a fast-paced legal environment.
Key Responsibilities
- Assist attorneys with business and corporate transactions, including mergers, acquisitions, financing transactions, and commercial agreements.
- Prepare, draft, revise, proofread, electronically file, and manage legal and organizational documents for corporations, LLCs, partnerships, nonprofits, and Supreme Court and Surrogate’s Court matters, including entity formations, motions, judgments, petitions, and related filings.
- Conduct legal and factual research and communicate professionally with clients, courts, government agencies, attorneys, and third parties.
- Manage transactional documents, signatures, and closing binders for corporate matters.
- Maintain electronic and physical client files in accordance with firm procedures and confidentiality requirements.
- Coordinate and manage multiple projects, transactional workflows, filings, and deadlines simultaneously while supporting attorneys in a fast-paced legal environment.
- Oversee collection matters, including files involving reimbursement disputes, Medicaid status changes, and supporting legal documentation.
- Manage attorney calendars, monitor deadlines, schedule court appearances, and support multiple attorneys with daily workflow needs.
- Track billable time and support departmental productivity expectations.
- Additional duties as assigned.
Qualifications
- Associate’s or Bachelor’s degree and/or Paralegal Certificate preferred.
- 3+ years of experience as a paralegal in corporate, business, or transactional law preferred.
- Knowledge of corporate governance documents and entity filings.
- Experience with New York Department of State filings and corporate compliance matters preferred.
- Strong attention to detail and ability to manage multiple projects simultaneously.
- Excellent written and verbal communication skills.
- Proficiency with Microsoft Office Suite and legal document management systems.
- Ability to work independently and collaboratively in a team-oriented environment.
- Professional demeanor and strong commitment to client service.
Work Environment & Physical Requirements
- This position is primarily performed in an office setting and involves extended periods of sitting, working at a computer, and communicating via phone and email, with or without reasonable accommodation.
- The role may require occasional standing, walking, and light lifting (e.g., files or office materials up to approximately 10–20 pounds), with or without reasonable accommodation.
- Ability to manage multiple tasks and priorities in a dynamic work environment, with or without reasonable accommodation.
Wage Information: $25.00 – $32.00 per hour depending on experience and skillset.
